ITEM 9.   REGULATION FD DISCLOSURE                                              

On May 30, 2004, YP Corp. ("YP") announced that its Chief Executive   
Officer, Angelo Tullo had resigned as an executive officer and director of the  
Company as a result of indictments handed down against him by a federal grand   
jury for matters unrelated to YP Corp.  The Company also announced in the press 
release the appointment of Peter Bergmann, a current director, to the position  
of Chairman, President and Chief Executive Officer.  A copy of the press release
is attached to this report as Exhibit 99.1.                                     

This information is being disclosed pursuant to Regulation FD.        
Accordingly, the information in this Form 8-K and the Exhibit attached hereto
