     This Post-Effective Amendment No. 1 relates to the Registration Statement on Form S-8 (Registration No. 033-59722) (the “Registration Statement”) filed with the Securities and Exchange Commission (the “SEC”) on April 27, 2001 by Stanley Furniture Company, Inc. (the “Company”). The Registration Statement registered 100,000 shares of common stock, par value $0.02 per share, of the Company (without giving effect to stock splits and dividends) (the “Shares”), to be offered and sold pursuant to the Company’s Scheffer Option Grant (the “Plan”). The Plan has expired by its terms and all stock options granted thereunder or governed thereby have expired unexercised. In accordance with an undertaking made by the Company in the Registration Statement to remove by means of a post-effective amendment any securities that remain unsold at the termination of the offering and pursuant to the power conferred on the Company by Rule 478 under the Securities Act of 1933, as amended, the Company is filing this Post-Effective Amendment to terminate the effectiveness of the Registration Statement and to remove from registration all securities registered but not sold under the Registration Statement.
