EXPLANATORY NOTE

i Ryerson Holding Corporation (the “Company”) is filing this Current Report on Form 8-K/A solely to include Schedule 2 – Reconciliations of Net Income (Loss) Attributable to Ryerson Holding Corporation to EBITDA and Gross profit to Gross profit excluding LIFO (“Schedule 2”) in the press release announcing the Company's financial results for the fourth quarter and full year ended December 31, 2023, which was inadvertently omitted in the press release issued on February 21, 2024 (the “Original Press Release”).

Item 2.02 Results of Operations and Financial Condition.

On February 21, 2024, the Company issued the Original Press Release announcing its financial results for the fourth quarter and full year ended December 31, 2023. A copy of the press release, as updated to include Schedule 2, is furnished as Exhibit 99.1 to this report and is incorporated by reference, and has been posted to the Company’s website.

The information contained within Item 2.02 of this Form 8-K/A and Exhibit 99.1 attached hereto shall not be deemed “filed” for purposes of Section 18 of the Securities Exchange Act of 1934 and shall not be deemed incorporated by reference in any filing under the Securities Act of 1933, except as shall be expressly set forth by specific reference in such filing.
