Item 7.01 Regulation FD Disclosure.

 

On March 6, 2024, Autoliv, Inc. (“Autoliv”) issued a release (the “Release”) announcing that it has renewed its Euro Medium Term Note Programme (the “EMTN Programme”). Under the EMTN Programme, Autoliv may issue, from time to time, notes guaranteed by Autoliv ASP, Inc. (the “Guarantor”) in the equivalent amount of up to EUR 3,000,000,000 in various currencies. The EMTN Programme was renewed for a period of one year. A copy of the Release is furnished herewith as Exhibit 99.1.

 

Notes issued under the EMTN Programme have not been, and will not be, registered under the Securities Act of 1933, as amended (the “Act”), will only be offered and sold outside the United States to non-U.S. persons in offshore transactions in reliance on Regulation S under the Act and may not be offered or sold within the United States or to, or for the account or benefit of, U.S. persons absent registration or an applicable exemption from registration requirements under the Act.
