ITEM 5.03. AMENDMENTS TO ARTICLES OF INCORPORATION OR BYLAWS; CHANGE IN FISCAL YEAR

On March 28, 2024, the Board of Directors of Acme United Corporation (the “Company”) approved and adopted an amendment to the By-laws of the Company (the “By-laws”), effective on that date. The amendment amended Article 2, Section 3, “Place of Meetings,” of the By-laws to permit meetings of shareholders to be held, in addition to being held in person at a physical location, solely via remote communications or via a hybrid meeting as determined by the Board of Directors of the Company. A complete copy of the By-laws, as amended, appears as Exhibit 3(ii) to this Current Report on Form 8-K.
