(1)  This Form 3 is filed by B. Riley Asset Management, LLC ("BRAM") and Wes Cummins, with respect to the securities held by certain funds and accounts to which BRAM serves as investment manager. Wes Cummins is the President of BRAM.
Remarks:
Each Reporting Person disclaims beneficial ownership in the securities reported on this Form 3 except to the extent of its or his pecuniary interest therein, if any, and this report shall not be deemed to be an admission that any Reporting Person is the beneficial owner of such securities for purposes of Section 16 or for any other purpose. BRAM may be deemed to be a director by deputization for purposes of Section 16 under the Securities Exchange Act of 1934 by virtue of the fact that Wes Cummins, President of BRAM, currently serves on the board of directors of the Issuer.
