5.02 - Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
Education Management Corporation (the “Company”) previously announced that, due to his other business commitments, William R. Johnson did not intend to stand for re-election to the Company’s Board of Directors at the Company’s 2014 Annual Meeting of Shareholders. The timing of that meeting has been delayed due to the Company’s ongoing debt restructuring. Accordingly, Mr. Johnson has informed the
Company that he intends to resign from the Board of Directors effective as of November 1, 2014.
Item 8.01 - Other Events.
On October 29, 2014, the Company issued a press release announcing that it has extended until 11:59 p.m., New York City time, on November 24, 2014 the expiration date for its previously announced private offer to exchange all outstanding Senior Cash Pay/PIK Notes due 2018 and Senior PIK Toggle Notes due 2018 issued by certain
of its subsidiaries for a combination of mandatory convertible preferred stock and warrants.
