Item 8.01 – Other Events

On June 30, 2009, the Board of Directors of WiFiMed Holdings Company, Inc. accepted the resignation of Gregory D. Vacca as a member of the Board of Directors of WiFiMed Holdings Company, Inc. Mr. Vacca is currently the President and CEO of WiFiMed Holdings Company, Inc.

On July 1, 2009, WiFiMed, Inc. filed for relief under Chapter 7 of the United States Bankruptcy Code. This petition was filed in the United States Bankruptcy Court for the Northern District of Georgia (case number 09-76876). WiFiMed, Inc. is a wholly-owned subsidiary of WiFiMed Holdings Company, Inc.
