    General Rules and Regulations under the Act.  The information contained in

PART III--NARRATIVE                                                             

  The Company is not able to file the third quarter 10Q by the due date.
    Ongoing activities related the bankruptcy process and the potential sale
  of the company have delayed finalization of the third quarter results.

PART IV--OTHER INFORMATION                                                      

 (3) The results of operations for the third quarter of 1997 will vary
significantly from 1996 as follows:                         

      (i)  Net Sales have decreased $12,772,000 due to the closure of 16
    stores during the summer of 1997, reduced spending for
               advertising in the current year and higher out-of-stock positions
at the remaining stores; and                      

       (ii) Restructuring charges related to the bankruptcy reorganization
     amounted to $1,451,000 for professional fees, inventory
        liquidation at three stores and additional salary expense.
