Item 12. Results of Operations and Financial Condition

On August 7, 2003, Footstar, Inc. (the “Company”) issued a press release announcing that its Form 10-Q for the quarterly period ended June 28, 2003 will not be filed by August 12, 2003, when it is otherwise due, becuase its financial statements continue to be under review by the Company’s external auditors, KPMG LLP. A copy of the press release is attached as Exhibit 99.1.
