ITEM 4.  Ownership.                                                             

(a)  Amount Beneficially Owned:                                         
 At December 31, 1998, Renaissance Capital Partners, Ltd.  owned
       2,736,063 shares of the Company's common stock.  On February 4, 1999,
        the Filer purchased 1,111,111 shares of the Company's common stock and
   on December 21, 1999, the Filer purchased 1,500,000 shares of the
   Company's common stock.  On September 15, 1999, the Filer owned a
       $100,000 8% Convertible Promissory Note due June 1, 2000, convertible
        at $0.15 per share.  On January 6, 2000, the Filer owned a $37,000 10%
        Convertible Promissory Note due June 1, 2000, convertible at $0.15 per
        share.  Both promissory notes are now in default.  Thus the Filer owns
     6,260,507 shares of the Company's common stock on a fully converted
basis.
