On February 27, 2006, Parallel Petroleum Corporation, or “Parallel”, issued a press release announcing that it is not engaged in any merger discussions or negotiations at the present time. Attached hereto as Exhibit 99.1 is the press release issued by Parallel on February 27, 2006.
