SECTION 1 – Registrant’s Business and Operations
Item 1.01 Entry into a Material Definitive Agreement.
On October 8, 2019, Southwestern Energy
Company (the “Company”), several banks and other financial institutions (collectively, the “Lenders”) and JPMorgan Chase Bank, N.A., in its capacity as administrative agent for the Lenders (the “Administrative Agent”), entered into Amendment No. 2 (the “Amendment”) to that certain Credit Agreement dated as of April 26, 2018, by and among the Company, the Lenders from time to time party thereto and the Administrative Agent (as amended, supplemented and modified from time to time, the “Credit Agreement”). The Amendment amended the Credit Agreement, among other matters, to extend the maturity date from April 26, 2023 to April 26, 2024 and reconfirm the Borrowing Base as of the Fall of 2019. The total commitments
from the Lenders remained at $2.0 billion.
