Results of Operations and Financial Condition.

On April 22, 2020, NETGEAR, Inc. (the “Company”) issued a press release announcing its financial results for its first fiscal quarter ended March 29, 2020, the text of which is furnished herewith as Exhibit 99.1.

The information furnished pursuant to this Item 2.02 and the exhibit to this Current Report are being furnished and shall not be deemed “filed” for purposes of Section 18 of the Securities Exchange Act of 1934, as amended (the “Exchange Act”) or otherwise subject to the liabilities of that Section. Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

(b) On April 18, 2020, Maureen M. Mericle informed the Board of Directors (the “Board”) of the Company of her decision not to stand for re-election to the Board at the 2020 Annual Meeting of Stockholders. Ms. Mericle will continue as a member of the Board until her current term expires at the 2020 Annual Meeting of Stockholders. Her decision not to stand for re-election was not due to any disagreement with the Company on any matter relating to the Company’s operations, policies or practices.
