Departure of Directors or Certain Officers;
Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
On February 26, 2024, Sensata Technologies Holding plc (the “Company”) announced that Brian Roberts, who joined the Company in November 2023 as Executive Vice President and Chief Financial Officer, will assume the duties of the Company’s principal accounting officer pursuant to Rule 16a-1(f) of the Securities Exchange Act of 1934, as amended, with immediate effect. Also, effective February 26, 2024, Maria G. Freve will no longer serve as the
Company’s Chief Accounting Officer and principal accounting officer.
For further information about Mr. Roberts, including information required by Item 5.02(c)(2) and 5.02(c)(3), please see the information contained in Item 5.02(c) of the Company’s Current Report on Form 8-K filed on October 31, 2023. There will be no change in compensation for Mr. Roberts in connection with his assumption of the principal accounting officer role.
