Submission of Matters to a Vote of Security Holders.

Say on Frequency Determination

(d) On August 31, 2020, MiMedx Group, Inc. (the "Company") held its 2019 Annual Meeting.

At the 2019 Annual Meeting, among other things, shareholders approved a resolution that the Company's advisory vote on the Company's executive compensation be conducted annually.

On September 29, 2020, in light of such shareholder advisory vote, the Company's Board of Directors has determined to implement an annual say-on-pay vote beginning with the 2021 annual meeting of shareholders.
