ITEM 7.01 REGULATION FD DISCLOSURE
On iMarch 25,
2024, Ingersoll Rand Inc. (“Ingersoll Rand”) issued a press release announcing its entry into a definitive merger agreement, pursuant to which Ingersoll Rand has agreed to acquire ILC Dover from affiliates of New Mountain Capital, upon the terms and subject to the conditions set forth in the definitive merger agreement. The transaction is subject to customary closing conditions, including regulatory approvals, and is expected to close in Q2 2024. A copy of the press release is furnished herewith as Exhibit 99.1 and incorporated by reference herein.
