Item 5.02 Departure of Directors or Certain Officer; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

Named Executive Officer Base Salary Adjustment

On April 24, 2024, the Board Directors of NewHydrogen, Inc. (the “Company”) approved an increase to the base salary of Steven Hill, the Company’s Chief Executive Officer, resulting in a base salary of $285,000, effective May 1, 2024.

Item 8.01 Other Events.

On April 23, 2024, the Company issued a press release announcing that in a recent podcast the Company’s Chief Executive Officer, Steve Hill, spoke with Dr. David Blekhman, a professor at Cal State University Los Angeles about diverse hydrogen technology applications. A copy of the press release is attached as Exhibit 99.1 hereto and is incorporated herein by reference.
