Item 2.02 Results of Operations and Financial Condition.
On February 20,
2024, TrueCar, Inc. (the “Company”) announced its financial results for the fiscal year ended December 31, 2023. The full text of the stockholder letter issued in connection with the announcement is furnished as Exhibit 99.1 to this Current Report on Form 8-K.
The information in Items 2.02, 7.01 and 9.01 of this Form 8-K and the Exhibit attached hereto shall not be deemed “filed” for purposes of Section 18 of the Securities Exchange Act of 1934 (the “Exchange Act”), or otherwise subject to the liabilities of that section, nor shall they be deemed incorporated by reference in any filing under the Securities Act of 1933, as amended, or the Exchange Act, except as expressly set forth

Item 7.01 Regulation FD Disclosure.
Also on February 20, 2024, the Company announced that its Board of Directors (the “Board”) had increased the amount of funds available to repurchase shares of the Company's common stock under its previously-announced share repurchase program to $100 million. Prior to the increase, the repurchase plan had a remaining authorization of $45.8 million. The Board also extended the expiration date of the program from September 30, 2024 to
December 31, 2026. The Board’s action did not affect the fact that repurchase program does not obligate the Company to repurchase any dollar amount of its shares.
