Item 2.02. Results of Operations and Financial Condition.

On November 5, 2015 Core-Mark Holding Company, Inc. (the “Company”) issued a press release announcing its results of operations for the three and nine September 30, 2015. The text of the press release issued by the Company is furnished as Exhibit 99.1.

Item 8.01. Other Events.

The Company's November 5, 2015 press release also announced that its Board of Directors has approved a $0.16 cash dividend per common share. The dividend is payable on December 15, 2015 to stockholders of record as of the close of business on November 20, 2015.
