Item 5.02 Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers.

On July 20, 2006, the Board of Directors of Vocus, Inc. (the "Company") appointed William Wagner, Chief Marketing Officer, as a named executive officer of the Company. As a result of Mr. Wagner's appointment, the Board voted to remove William Donnelly, Senior Vice President Corporate Development, as a named executive officer.

Further information regarding Mr. Donnelly can be found in the Company’s Annual Report on Form 10-K for the year ended December 31, 2005 as filed with the Securities and Exchange Commission ("SEC") on March 13, 2006 and definitive proxy statement on Schedule 14A filed with the SEC on April 27, 2006.
