On August 27, 2015, IDT Corporation (the “Registrant) issued a press release announcing that its Board of Directors has approved a plan to reorganize the Registrant into three separate entities by spinning off two business units to its stockholders. The three separate companies will feature IDT Telecom, Zedge, and the Registrant’s other holdings.
A copy of the August 27, 2015 press release relating to the above events is attached hereto as Exhibit 99.1 and is incorporated herein by reference.
