| (1) | On June 30, 2015, Energizer Holdings, Inc. ("Energizer") issued 62,192,281 shares of its common stock to its parent, Edgewell Personal Care Company ("Edgewell"), as partial consideration for Edgewell's transfer of its household products business to Energizer. |
| (2) | On July 1, 2015, Edgewell made a pro rata distribution of 100% of the outstanding shares of Energizer common stock to Edgewell stockholders of record as of the close of business on June 16, 2015, the record date for the distribution. |
