Keane Team,

During the past eight years, Keane has evolved from a service provider with operations in only one region to a national leader and recognizable force across a competitive landscape. It is because of your hard work that Keane has achieved this success and has the ability to pursue exciting opportunities.

To that end, I am pleased to share that we have just announced that Keane and C&J Energy Services have agreed to combine in an all-stock merger of equals. The combined company will be positioned as an industry-leading, diversified oilfield services provider. Together with C&J, we will create a leading U.S. well completions and production services company with increased scale and density across services and geographies with a prominent presence in the most active U.S. basins. With a shared legacy of innovative R&D and a rich portfolio of proprietary technology, the combined company will accelerate investments in continued innovation and advanced, value added technologies.

I’ve spent a lot of time with the C&J team recently. In addition to Keane’s and C&J’s shared Houston heritage, our companies have longstanding commitments to Safety, Efficiency and Partnerships, all of which will be reflected in the way the combined company approaches the day-to-day execution of its operations. In C&J, we’ve found a partner who is equally committed to our safety-centric, customer-oriented employee culture. We are eager to join forces with them to leverage the resources and strengths of each organization.

Here are a few key details that reflect the equal contribution of both Keane and C&J:

 

   

The combined company will be led by a proven management team reflecting the strengths, experience and capabilities of both organizations. I will serve as President and Chief Executive Officer of the combined company, and I’ll also serve as a member of the Board.

 

   

The combined company’s Board of Directors will comprise 12 directors, six of whom will be from the Keane Board and six of whom will be from the C&J Board, including Patrick Murray, C&J’s Board Chairman who will serve as Chair of the combined company’s Board.

 

   

The combined company will operate under a new corporate name and trade under a new ticker symbol that will leverage the strengths of both brands. The new corporate name and ticker will be announced prior to the close of the transaction.

 

   

The combined company will optimize Keane’s and C&J’s existing Houston facilities, with the new corporate headquarters being established at the C&J facility on Rogerdale after the merger closes.

This merger of equals represents a significant milestone as we expect our employees to contribute and benefit from growth and new career development opportunities that result from being part of a larger and stronger organization.

More details on how our combined company will operate will be determined in the coming weeks and months by an integration planning team made up equally of members from Keane and C&J. I am pleased that Greg Powell, President and Chief Financial Officer of Keane, has agreed to serve as EVP and Chief Integration Officer upon close of the transaction. The integration planning team will be drawing upon both organizations to incorporate the best talent, processes and systems, and we are committed to keeping you updated as we move ahead.


Attached is a “frequently asked questions” document to help address many of your immediate questions, and I’ll also be sharing a company-wide video message. I can promise you that we’ll aim to answer as many of your questions as possible between now and close.

It is important to remember that until the close of the transaction, which is expected to occur in the fourth quarter of 2019, Keane and C&J will continue to operate as separate companies. Until then, your day-to-day responsibilities remain the same. We ask that you stay focused on our core values that will allow us to continue delivering the exceptional service our customers have come to expect.
