On February 4, 2020, the Board of Directors of Central Garden & Pet Company amended, effective immediately, Section 1(e) of Article II of its By-laws to clarify that directors shall be elected by a plurality of the votes of the shares present in person or represented by proxy at the meeting and entitled to vote on the election of directors. A copy of the Amended and Restated By-laws effective February 4, 2020 is filed as Exhibit 3.1 to this Current Report on Form 8-K.
