Other Events.

On August 6, 2020, MGIC Investment Corporation, a Wisconsin corporation (the “Company”), announced in a press release the commencement of a tender offer to purchase any and all of the $425,000,000 outstanding aggregate principal amount of its previously issued 5.750% Senior Notes due 2023 (the “Offer”). A copy of the Company’s press release announcing the Offer is attached as Exhibit 99.1 to this Current Report on Form 8-K and is incorporated herein by reference.
