Item 1.01 Entry into a Material Definitive Agreement.
The registrant (“Reinsurance Technologies") amended the Agreement and Plan of Merger dated March 31, 2012 (the “Merger Agreement”) among Reinsurance Technologies, ReTech Solutions, Inc. and Ludvik Holdings, Inc. ("Ludvik") filed with the SEC on May 23, 2012, by extending the due diligence period for Ludvik from June 30, 2012 to September 21, 2012. The Merger Agreement is contingent upon the completion of due diligence by Ludvik.
