Item 1.01 Entry into a Material Definitive Agreement.
USANA Health Sciences, Inc. (the “Company”) previously reported on a Form 8-K filed with the Securities and Exchange commission on April 25, 2006, that at the 2006 Annual Meeting of Shareholders of the Company held on April 19, 2006, the shareholders of the Company approved the USANA Health Sciences, Inc. 2006 Equity Incentive Award Plan (the “Plan”). A copy of the Plan was filed as Exhibit 10.1 to such Form 8-K. The form of Stock Option Agreement for grants of non-statutory stock options under the Plan for Employees is filed as Exhibit 10.1 hereto, and is incorporated herein by reference. The form of Stock Option Agreement for grants of non-statutory stock options under the Plan for Directors who are not employees is filed as Exhibit 10.2 hereto, and is incorporated herein by reference. The form of Incentive Stock Option Agreement for grants of incentive stock options under the Plan is filed as Exhibit 10.3 hereto, and is incorporated herein by reference.
