Item 1.02. Termination of a Material Definitive Agreement

 

On June 1, 2006, Lone Star Technologies, Inc. (“Lone Star”) issued a press release (the “Press Release”) announcing that on June 1, 2006, Lone Star redeemed its $150 million of outstanding 9.00% Senior Subordinated Notes due 2011 (the “Notes”). The redemption effectively terminated the Indenture dated as of May 29, 2001 relating to the Notes among Lone Star, certain subsidiary guarantors and Wells Fargo Bank Minnesota, N.A., as trustee.

 

The foregoing is qualified by reference to the Press Release, which is filed as Exhibit 99.1 to this Report and incorporated herein by reference.
