On February 17, 2006, Career Education Corporation (the “Registrant”) filed a Current Report on Form 8-K with the Securities and Exchange Commission in connection with the announcement that Steven H. Lesnik was appointed to the Registrant’s Board of Directors (the “Board”).
On May 18, 2006, the Board appointed Mr. Lesnik to the Compensation Committee of the Board. In addition, the Board designated a Compliance Committee of the Board to which Mr. Lesnik was one of several Board members appointed.
