Item 2.02. Results of Operations and Financial Condition.

On March 10, 2020, At Home Group Inc. (the “Company”) issued a press release, a copy of which is furnished as Exhibit 99.1 hereto and incorporated herein by reference, announcing certain preliminary financial results for the thirteen weeks and fiscal year ended January 25, 2020. These preliminary financial results are based upon the Company’s current estimates and are subject to the completion of management’s and the audit committee’s final reviews and other financial closing procedures, as well as the completion of the audit of the Company’s annual consolidated financial statements, and therefore are subject to change.

In accordance with General Instruction B.2 of Form 8-K, the information in this Item 2.02 of this Current Report on Form 8-K, including Exhibit 99.1 attached hereto, shall not be deemed “filed” for the purposes of Section 18 of the Securities Exchange Act of 1934, as amended, or otherwise subject to the liabilities of that section, nor shall it be deemed incorporated by reference in any filing under the Securities Act of 1933, as amended, or the Securities Exchange Act of 1934, as amended, except as shall be expressly set forth by specific reference in such a filing.
