Item 2.02. Results of Operations and Financial Condition.

On January 29, 2020, Tetra Tech, Inc. (“Tetra Tech”) reported its results of operations for its first fiscal quarter ended December 29, 2019. A copy of the press release is attached to this Current Report as Exhibit 99.1.

Item 8.01. Other Events.

On January 29, 2020, Tetra Tech announced that its Board of Directors has declared a $0.15 per share quarterly cash dividend and also authorized a new $200 million share repurchase program. The dividend is payable on February 28, 2020 to stockholders of record as of the close of business on February 12, 2020.
