Explanatory Note
This Amendment (the “Amendment”) to the Current Report on Form 8-K filed by Monster Beverage Corporation (the “Company”) on February 28, 2024, is being filed to correct a clerical error in the gross profit number for three-months ended December 31, 2023, in the Condensed Consolidated Statement of Income and Other Information in the press release issued by the Company on February 28, 2024. A corrected copy of the press release is furnished as Exhibit 99.1 to this Amendment.
Item 2.02. Results of Operations and Financial Condition.
On February 28, 2024, the Company issued a press release relating to its financial results for the fourth quarter and full-year ended December 31, 2023, a copy of which is furnished as Exhibit 99.1 hereto. The press release did not include certain financial statements, related footnotes and certain other financial information that will be filed with the Securities and Exchange Commission as part of the Company’s Annual Report on Form 10-K.
