(b) On February 21, 2023, Ursula M. Burns announced her intention not to stand for re-election to the board at the annual meeting of shareholders on May 31, 2023, for reasons unrelated to the company. Ms. Burns will remain on the board and continue to serve until the annual meeting.

thank Ursula for her valued service on the ExxonMobil board of directors over the last 10 years,” said Darren Woods, chairman and chief executive officer. “ExxonMobil was made better by her perspectives as we worked to strengthen our industry leadership position and make significant steps toward playing a leading role in the energy transition.
