Item 1.01 Entry into a Material Definitive Agreement

On June 30, 2005, Consolidated Rail Corporation, CSX Transportation, Inc. and Norfolk Southern Railway Company entered into Amendment No. 4 to the Shared Assets Area Operating Agreement for each of North Jersey, South Jersey/Philadelphia and Detroit, effective June 1, 2005. The amendment is attached hereto as an exhibit.

Pursuant to the requirements of the Securities and Exchange Act of 1934, the Registrant has caused this report to be signed on its behalf by the undersigned thereunto duly authorized.
