 NARRATIVE

    State below in reasonable detail why the Form 10-K, 11-K, 20-F 10-Q, N-SAR
or the transition report portion thereof could not be filed within the

    On November 14, 2000 the Company filed a voluntary petition for protection
under Chapter 11 of the United States Bankruptcy Code in the United States      
Bankruptcy Court for the District of Delaware and has been operating as a debtor
in possession. Due to the bankruptcy filing and other events affecting the      
Company's 401(k) plan, the Company is still gathering information from the      
trustees of the plan to provide to the Company's external auditors. This process
will not be complete as of the filing deadline.
