application to withdraw its Registration Statement on Form S-3 as initially

     Actava has redeemed the shares covered by the Registration Statement.
Accordingly, the shares no longer need to be registered.  We hereby request     
that the Commission consent to the withdrawal of the Registration Statement with
an order granting the withdrawal on the date of filing of this application.
