(Attach Extra Sheets if Needed) The Company's Quarterly Report on Form 10-Q for the period ended December 31, 1998 cannot be filed within the prescribed time period without unreasonable effort or expense until the Company completes the restatement and reaudit of its financial results for fiscal year 1998. This restatement and reaudit are required as a result of certain accounting irregularities and other improprieties with respect to its United Kingdom subsidiary, Gencor ACP Ltd.

[X] Yes [ ] No If so, attach an explanation of the anticipated change, both narratively and quantitatively, and, if appropriate, state the reasons why a reasonable estimate of the results cannot be made: The Company reported in its December 18, 1998 press release that it anticipated the results for the first quarter ending December 31, 1998 to show approximately $0.15 to $0.20 loss per share. As indicated above, the Company has not completed its quarterly report on Form 10-Q, nor the restatement and reaudit of its financial results for fiscal year 1998. Accordingly, actual quarterly results are not available and could differ. The Company's earnings for the December-ended quarter have been impacted by the operations of the above-described U.K. subsidiary, the restructuring of its Brazilian subsidiary, deterioration in meat production prices and general softness in the food production and processing industries. The Company reported a net income of $1.7 million for the quarter ended December 31, 1997.
