       On July 18, 1996, Quarterdeck Corporation, a Delaware
              corporation ("Quarterdeck"), acquired all of the outstanding
            stock of Vertisoft Systems, Inc., a California corporation
                ("Vertisoft"), through the merger of a wholly-owned subsidiary
             of Quarterdeck with and into Vertisoft.  In connection with
             acquisition, the outstanding capital stock of Vertisoft was
              converted into 3,500,000 shares of Quarterdeck common stock.
