Item 1. Description of Registrant’s Securities to be Registered.

The description of the 7.75% Series A Cumulative Convertible Preferred Shares, par value $0.001 per share (the “Series A Preferred Shares”), and Warrants to purchase common shares (the “Warrants”) of Pyxis Tankers Inc. (the “Registrant”) are included under the caption “Description of the Securities We are Offering” in the prospectus forming a part of the Registration Statement on Form F-1, as amended, originally filed with the Securities and Exchange Commission (the “Commission”) on August 13, 2020 (File No. 333-245405), including exhibits (as may be subsequently amended from time to time, the “Registration Statement”), which description is hereby incorporated by reference.

The Series A Preferred Shares and Warrants to be registered hereunder have been approved for listing on The Nasdaq Capital Market of The Nasdaq Stock Market LLC under the symbols “PXSAP” and “PXSAW”, respectively.
