On October 25, 2017, the Board of Directors of registrant adopted and approved amended and restated By-Laws of registrant, which incorporate expanded advance notice requirements and an exclusive forum provision, in addition to other non-substantive changes. The Amended and Restated By-Laws are filed as Exhibit 3.1 to this Form 8-K.
