This Amendment No. 1 to Form 8-K is being filed to correct disclosure in a Current Report on Form 8-K filed on
April 23, 2020.
The sole change is to correct the amounts of RSUs set forth in the following paragraph, with the correct amounts appearing below:
On
April 21, 2020, the Compensation Committee (the
“Committee”) of the Board of Directors (the
“Board”) of RCM Technologies, Inc.
(the
“Company”) granted to Frank Petraglia, under
the Company’s 2014 Omnibus Equity Compensation Plan, as amended and restated (the
“2014 Plan”), a total of 15,000 restricted stock units (
“RSUs”) that are convertible into shares of Common Stock of
the Company, which RSUs will become vested in two (2) equal installments of 7,500 RSUs on the first two anniversaries of the date of grant, so long as he remains continuously employed by
the Company through such vesting dates.
