Explanation of Responses:                                                       

(1)  Represents  the  change  in  ownership  from  indirect  to  direct  by  the
distribution of the shares from Emergent Management Company LLC.      
(2)  Represents  shares to be  received  from  Emergent  Management  Capital LLP
     pursuant to a  settlement  agreement.  Even though the shares have not been
physically delivered, Mr. Yun is deemed to beneficially own them.
