PART III -- NARRATIVE                                                           

State below in reasonable detail the reasons why Forms 10-K, 20-F, 11-K, 10-Q,  
N-SAR, or the transition report or portion thereof, could not be filed within   
the prescribed time period.                                                     

Due to the timing and difficulty of the reporting process and auditor review    
the additional expense would be unreasonable.                                   

   AS OF JUNE 28, 1996, MEMOREX TELEX N.V. ("THE COMPANY") ANNOUNCED THAT IT
HAS ENTERED AN AGREEMENT WITH LONG-TIME TRADING PARTNER, KANEMATSU CORPORATION, 
TO SELL ITS ASIA/PACIFIC OPERATIONS. A PORTION OF THE PROCEEDS FROM THE SALE    
WILL BE USED TO REDUCE DEBT WITH THE REMAINDER TO BE USED TO MEET WORKING       
CAPITAL REQUIREMENTS.                                                           

ADDITIONALLY, THE COMPANY BELIEVES IT HAS REACHED AGREEMENT WITH THE  
LENDERS TO ITS RESTRUCTURED CREDIT FACILITY TO CURE DEFAULTS THAT EXISTED       
UNDER THIS AGREEMENT AT MARCH 31, 1996.                                         

 THE COMPANY HAS DETERMINED IT NEEDS AN ADDITIONAL PERIOD OF TIME NOT TO
EXCEED THE FIFTEENTH CALENDAR DAY FOLLOWING THE PRESCRIBED DUE DATE OF JULY 1,  
1996, TO ASCERTAIN THE IMPACT OF THE AFOREMENTIONED EVENTS UPON ITS FINANCIAL   
DISCLOSURES.
