This Amendment No. 1 to Schedule 13G (this "Amendment No. 1") is being
filed with respect to the Common Stock of ATP Oil & Gas Corporation, a          
corporation organized under the laws of the State of Texas (the "Company"), to  
amend the Schedule 13G filed on April 23, 2007 (the "Schedule 13G"). Capitalized
terms used herein and not otherwise defined have the meanings ascribed thereto  
in the Schedule 13G.
