(1) The units represent interests in the SIAL stock fund in the 401(k) plan and are based on a plan statement dated as of 2/12/13.

(2) The shares represent the payout of the stock portion of the 2010-2012 Performance Share Award.

(3) The options vest in three equal annual installments: one-third on 2/11/14; one-third on 2/11/15; and one-third on 2/11/16.

(4) Each restricted stock unit represents a contingent right to receive one share of SIAL common stock.
