| Item 4.01 | Changes in Registrant’s Certifying Accountant. |
On April 3, 2024, IIOT-OXYS, Inc., a Nevada corporation (the “Company”), engaged Fruci & Associates II, PLLC (“Fruci”) to serve as the Company’s independent registered public accounting firm for the year ended December 31, 2023. During the past two fiscal years ended December 31, 2023 and 2022, and from December 31, 2023 to April 3, 2024, the Company did not consult with Fruci regarding the application of accounting principles to a specific completed or contemplated transaction, or the type of audit opinion that might be rendered on the Company’s financial statements. The decision to engage Fruci was approved and ratified by the Company’s board of directors on April 4, 2024.
