Entry into a Material Definitive Agreement.

On February 26, 2020, Insight Enterprises, Inc. (the “Company”) issued a press release announcing the authorization of a stock repurchase program pursuant to which the Company may purchase up to an aggregate of $50 million of the Company's common stock. The full text of the press release is filed as Exhibit 99.1 to this Current Report on Form 8-K and incorporated by reference herein.
