Revance Therapeutics, Inc. (the “Registrant”) is filing this Registration Statement with the Securities and Exchange Commission (the “SEC”) to register 3,595,432 additional shares of its common stock, par value $0.001 per share (the “Common Stock”), comprised of: (i) 3,295,432 additional shares of Common Stock under the 2014 Equity Incentive Plan (the “2014 Plan”), pursuant to the provisions of the 2014 Plan providing for an automatic annual increase in the
number of shares of Common Stock reserved and available for issuance under the 2014 Plan and (ii) 300,000 additional shares of Common Stock under the 2014 Employee Stock Purchase Plan (the “2014 ESPP”), pursuant to the provisions of the 2014 ESPP providing for an automatic annual increase in the number of shares of Common Stock reserved and available for issuance under the 2014 ESPP.
