Item 1. Description of Registrant’s Securities to be Registered.
The class of securities to be registered hereby are (1) Common Stock, par value $0.001 per share (the “Common Stock”), of The Stallion Group, a Nevada corporation. The descriptions of the Common Stock and the Rights set forth under the caption “Description of Securities” in the Registration Statement on Form S-2 (Registration No. 333-1184360 as amended, the “Registration Statement” which became effective February 14, 2005, originally filed with the Securities and Exchange Commission (the “Commission”) under the Securities Act of 1933, as amended (the “Securities Act”), on February 03, 2005 is incorporated herein by reference.
